Technology Services Agreement

1. Introduction

This Agreement is made between Afrinovix ("the Company") and the Client ("the Client") for the purpose of providing digital and technology services including but not limited to website development, UI/UX design, software development, and related services.

2. Scope of Services

Afrinovix agrees to deliver services as discussed and agreed upon with the Client, based on the project requirements, specifications, and timelines.

3. Payment Terms

• The Client agrees to pay 40% of the total project cost upfront before any work commences.
• Work on the project will not begin until the initial payment is received and confirmed.
• The remaining balance (60%) shall be paid according to agreed milestones or upon project completion before final delivery.

4. Project Demonstration & Feedback

• Afrinovix will provide regular updates and demonstrations of the project progress.
• Updates may be shared daily or weekly, depending on the nature and duration of the project.
• The Client is expected to review and provide timely feedback to ensure smooth progress.

5. Client Responsibilities

The Client agrees to:

• Provide accurate project requirements and necessary materials
• Respond to communications and feedback requests promptly
• Approve stages of the project within a reasonable time

6. Revisions

• Reasonable revisions are allowed during the development phase.
• Major changes outside the agreed scope may result in additional charges.

7. Delivery

• Afrinovix reserves the right to withhold final files, access, or deployment until payment is fully settled.

8. Confidentiality

Both parties agree to keep all sensitive information shared during the project confidential and not disclose it to third parties without consent.

9. Termination

• Either party may terminate the agreement under valid reasons.
• The initial 40% payment is non-refundable once work has commenced.

10. Agreement Acceptance

By completing and downloading this agreement, both parties confirm acceptance of the terms and conditions stated herein.
